Terms of Use and End User License Agreement

These Terms of Use and End User License Agreement (the "Agreement") govern use of the private, internal software integration operated by Splash Creative, LLC ("Splash Creative," "we," "us") that connects to Intuit QuickBooks Online (the "Application"). The Application is used only by Splash Creative and the business owners it operates on behalf of. By using the Application, the user agrees to this Agreement.

1. License

Splash Creative grants the authorized account owner a limited, non-exclusive, non-transferable license to use the Application for the owner's own internal accounting, reporting, and business operations. The Application is not distributed, licensed, or sold to the public.

2. Ownership

The Application, including its software and design, is owned by Splash Creative. No ownership rights are transferred by this Agreement. QuickBooks data accessed through the Application remains owned by the respective business account owner.

3. Acceptable use

The user agrees to use the Application only for lawful business purposes, only with QuickBooks companies the user is authorized to access, and in compliance with Intuit's applicable terms. The user will not attempt to use the Application to access data belonging to parties the user is not authorized to represent.

4. Third party services

The Application relies on Intuit QuickBooks Online. Use of QuickBooks is subject to Intuit's own terms and privacy policy. Splash Creative is not responsible for Intuit's services or any change to them.

5. Disclaimer of warranty

The Application is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose. The user is responsible for reviewing the accuracy of any accounting records created or changed through the Application.

6. Limitation of liability

To the fullest extent permitted by law, Splash Creative will not be liable for any indirect, incidental, or consequential damages, or for any loss of data or profits, arising from use of the Application.

7. Termination

The account owner may stop using the Application at any time and revoke its access from within Intuit. Splash Creative may modify or discontinue the Application at any time.

8. Governing law

This Agreement is governed by the laws of the State of Michigan, without regard to its conflict of law rules.
